1. Acceptance of the Terms of Use

Welcome to the website of Restless Bandit, Inc. ("Company", "we" or "us"). The following terms of use, together with any documents they expressly incorporate by reference (collectively, these "Terms of Use", "Terms", "Agreement"), govern your access to and use of RestlessBandit.com, including any content, functionality and services provided on or through the website www.RestlessBandit.com or its related domains and subdomains (the "Website", "Service"), whether as a guest or registered user; provided, however, that the terms of a separate master subscription agreement entered into by and between you and the Company shall govern to the exclusion of these Terms of Use where applicable.

Please read these Terms of Use carefully before you start to use the Website or any Restless Bandit Service. These Terms hereby incorporate by this reference any additional terms and conditions posted by Restless Bandit through the Website, or otherwise made available to you by Restless Bandit. In particular, if you access or use Restless Bandit Talent Discovery, you are agreeing to be bound by the section of this Agreement titled Restless Bandit Talent Discovery Terms. These Terms of Use apply to all employers, companies, job seekers, visitors, employees, contractors and any others who visit the website and/or access the Service ("Users").

By using the Service, you accept and agree to be bound to and abide by these Terms of Use and our Privacy Policy, found at https://restlessbandit.com/privacy. If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access or use the Service.

2. Changes to the Terms of Use

We may revise and update these Terms of Use from time to time at our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Website thereafter. Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page each time you access this Website so you are aware of any changes, as they are binding on you.

3. Types of Users

Restless Bandit has different roles with respect to different types of Users and "you" as used in these Terms and will apply to visitors who browse the Service and the Restless Bandit website, and individuals who access and use the Service on their own individual behalf and/or on behalf of a company.

Users that are job seekers, prospective employees, or employees: If you use the Service to register for job alert emails, upload your resumé, or otherwise apply for jobs, you are a "Job Seeker" and/or a "Resume Owner".

Users or individuals and/or organizations seeking to make available information regarding employment openings or search the resume database on their behalf or on the behalf of others, including but not limited to agencies purchasing for multiple parties, you are an "Employer."

In addition to the other provisions of these Terms, please review the terms of Section 20 carefully if you are using the Service as a Job Seeker.

Users that are Employers: If you use the Service for Talent Discovery, you are an "Employer". In addition to the rest of these Terms, please review the terms in section Restless Bandit Talent Discovery Terms.

Talent Rediscovery, the Restless Bandit service that connects to internal customer systems ("Talent Rediscovery"), is governed by a separate master services agreement.

4. Accessing the Website and Account Security

We reserve the right to withdraw or amend this Website, and any Service or material we provide on the Website, at our sole discretion without notice. We will not be liable if, for any reason, all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Website, or the entire Website, to users, including registered users.

You are responsible for:
- Making all arrangements necessary for you to have access to the Website.
- Ensuring that all persons who access the Website through your internet connection are aware of these Terms of Use and comply with them.

To access the Website or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Website that all the information you provide on the Website is correct, current and complete. You agree that all information you provide to register with this Website or otherwise, including, but not limited to, through the use of any interactive features on the Website, is governed by our Privacy Policy and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

If you choose, or are provided with, a user name, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Website or portions of it using your user name, password or other security information. You agree to notify us immediately of any unauthorized access to or use of your user name or password, or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

We have the right to disable any user name, password or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.

5. Intellectual Property Rights

a.    Restless Bandit Property Rights

The Website and its entire contents, features and functionality (including, but not limited to, all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by the Company, its licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. The Company name, the marks Restless Bandit®, RestlessBandit.com®, Talent Rediscovery™, Resume Refresh™, the Company logo and all related names, logos, product and service names, designs and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs and slogans on this Website are the trademarks of their respective owners. Certain activities of the Restless Bandit Service may be covered by U.S. Patents.

You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Website, except as follows:

- Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.

- You may store files that are automatically cached by your Web browser for display enhancement purposes.

- You may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use or limited business purpose of exploring a potential transaction or business relationship with the Company, and not for further reproduction, publication or distribution.

You must not:

- Modify copies of any materials from this site. Use any illustrations, photographs, video or audio sequences or any graphics separately from the accompanying text.

- Delete or alter any copyright, trademark or other proprietary rights notices from copies of materials from this site.
You must not access or for any commercial purposes use, other than the limited business purpose of exploring a potential transaction or business relationship with the Company, any part of the Website or any services or materials available through the Website.

If you wish to make any use of material on the Website other than that set out in this section, please address your request to help@restlessbandit.com.

If you print, copy, modify, download or otherwise use or provide any other person with access to any part of the Website in breach of the Terms of Use, your right to use the Website will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title or interest in or to the Website or any content on the site is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of the Website not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark and other laws.

b. Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website:

- In any way that violates any applicable federal, state, local or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).

- For the purpose of exploiting, harming or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information or otherwise.

- To send, knowingly receive, upload, download, use or reuse any material which does not in its entirety comply with all applicable federal, state, local and international laws and regulations or, without limiting the foregoing, does any of the   following ("Content Standards")

- Contain any material which is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory or otherwise objectionable.

- Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.

- Infringe any patent, trademark, trade secret, copyright or other intellectual property or other rights of any other person.

- Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and our Privacy Policy.

- Be likely to deceive any person.

- Promote any illegal activity, or advocate, promote or assist any unlawful act.

- Cause annoyance, inconvenience or needless anxiety or be likely to upset, embarrass, alarm or annoy any other person.

- Give the impression that they emanate from or are endorsed by the Company or any other person or entity, if this is not the case.

- To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any "junk mail", "chain letter" or "spam" or any other similar solicitation.

- To impersonate or attempt to impersonate the Company, a Company employee, another user or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).

- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Website, or which, as determined by us, may harm the Company or users of the Website or expose them to liability.

Additionally, you agree not to:

- Use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Website, including their ability to engage in real time activities through the Website.

- Use any robot, spider or other automatic device, process or means to access the Website for any purpose, including monitoring or copying any of the material on the Website.

- Use any manual process to monitor or copy any of the material on the Website or for any other unauthorized purpose without our prior written consent. Introduce any viruses, trojan horses, worms, logic bombs or other material which is malicious or technologically harmful.

- Attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer or database connected to the Website.

- Attack the Website via a denial-of-Service attack or a distributed denial-of-Service attack.

- Otherwise attempt to interfere with the proper working of the Website.

6. Monitoring and Enforcement; Termination

We have the right to:

- Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website.

- Terminate or suspend your access to all or part of the Website for any or no reason, including without limitation, any violation of these Terms of Use.

Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Website. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF THEIR INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

We do not undertake to review all material, including resumes, before it is posted on the Website, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

7. Reliance on Information Posted

The information presented on or through the Website is made available solely for general information purposes. We do not warrant the accuracy, completeness or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Website, or by anyone who may be informed of any of its contents.

All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by the Company, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of the Company. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.

8. Changes to the Website

We may update the content on this Website from time to time, but its content is not necessarily complete or up to date. Any of the material on the Website may be out of date at any given time, and we are under no obligation to update such material.

The owner of the Website is based in the state of California in the United States. Access to the Website is prohibited by any person(s) or organization(s) designated by the United States government as a foreign terrorist pursuant to section 219 of the Immigration and Nationality Act or otherwise in violation of any US export control restrictions. If you access the Website from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

14. Indemnification

You agree to defend, indemnify and hold harmless the Company, its affiliates, licensors and Service providers, and its and their respective officers, directors, Employees, contractors, agents, licensors, suppliers, successors and assigns, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Website, including, but not limited to any use of the Website's content, services and products other than as expressly authorized in these Terms of Use or your use of any information obtained from the Website.

15. Governing Law and Jurisdiction

All matters relating to the Website and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction).

Any legal suit, action or proceeding arising out of, or related to, these Terms of Use or the Website, shall be by one disinterested arbitrator in binding arbitration, administered by the American Arbitration Association pursuant to its Commercial Arbitration Rules and Optional Rules for Emergency Measures of Protection in San Francisco, CA. The arbitral decision and award will be final and binding on the parties, and may be entered and enforced in any court of competent jurisdiction. The expenses of the arbitration shall be borne equally by the parties, provided that each party shall pay for and bear the cost of its own experts, evidence and legal counsel.

16. Limit on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

17. Waiver and Severability

No waiver by the Company of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

18. Entire Agreement

The Terms of Use, our Privacy Policy, and Copyright Policy (as applicable) constitute the sole and entire agreement between you and Restless Bandit, Inc. with respect to the Website and supersede all prior and contemporaneous oral understandings, agreements, representations and warranties with respect to the Website. For further avoidance of doubt, the terms of a separate master subscription agreement entered into by and between you and the Company shall govern to the exclusion of these Terms of Use where applicable.

19. Your Comments and Concerns

If you believe that any Website content violates your copyright, please see our Copyright Policy for instructions on sending us a notice of copyright infringement. It is the policy of the Company to terminate the user accounts of repeat infringers.

20. Provisions Specific to Users that are Job Seekers, Prospective Employees, or Employees

The provisions of this Section 20 of the Terms are specific to Users that use the Service as Job Seekers, Prospective Employees or Employees.

a. Job Applications

As a Job Seeker, you can (i) apply for jobs ("Job Applications"), (ii) receive job alert emails ("Job Alerts"), and (iii) upload your resume to the Resume Database. You have the ability to choose how to submit your Job Application through the Service using the options offered through the Service.

Please note that once you have submitted a Job Application your resume and other applicable information will be shared with the Employer that promoted the job. You should therefore ensure that the information you provide is complete and accurate, and only contains information you are comfortable sharing with Employers.

If you submit a resume, you acknowledge that we may 'parse' the resume into another format that enables searchable text. The Employer will be able to see your resume in the form in which you originally submitted it to Restless Bandit.

b. Resume Database

In addition to submitting Job Applications through the Service, you can elect to include your resume as part of the Service's resume database (the "Resume Database"). For purposes of this Agreement, references to "resume" shall also mean, a curriculum vitae and other similar written overviews of a person's experience and other qualifications that are uploaded to the Resume Database.

By clicking on the apply link in a Job Alert email, you have opted-in to participate as a Job Seeker in the Resume Database. You can opt-out of including your resume in the Resume Database at any time by adjusting the settings in your Job Seeker account and we will remove your resume from the Resume Database as soon as reasonably practicable.

c. Interactions with Employers

You are solely responsible for your interactions with Employers that contact you. Please note that there are risks, including but not limited to the risk of physical harm, that may arise when dealing with strangers, including persons who may be acting under false pretenses. You should therefore use caution with regard to the information you elect to share as part of your User Profile or in a Job Application or resume that you provide through the Service. Only list the contact information that you are comfortable disclosing to Employers and other Users of the Service.

Although Restless Bandit requests that Employers maintain the confidentiality of the Job Applications and resumes they receive through the Service, Restless Bandit cannot and does not guarantee that the information you provide to Employers through the Service as part of a Job Application or via a resume, will be held in confidence or properly secured by each applicable Employer. In addition, Restless Bandit takes no responsibility and assumes no liability for any job that any Employer promotes, sends or provides via the Service. You agree that Restless Bandit is not responsible or liable for the conduct of any Employer.

Restless Bandit Talent Discovery Terms

a. General Terms

The provisions of these Restless Bandit Talent Discovery Terms are specific to Users that use Talent Discovery (which includes direct Employers, staffing agencies, and other companies using the Service)

You hereby acknowledge and accept the rules, policies, and laws governing EEOC and OFFCP compliance related to Job Seeker privacy.

As an Employer, you are responsible for all activity, acts or omissions of any of your personnel that have an account to use the Service (each, an "Authorized User") and you agree to abide by the following rules:
                                     
- Ensure that accounts are not shared between your personnel or with any other third parties
                                       
- Ensure that accounts are not sold or licensed; you will not charge, or receive payment, in cash or in kind, from any individual or entity for use of, or access to, any portion of the Service
                                 
- Ensure that Authorized Users comply with these Terms, and promptly notify Restless Bandit of any suspected or alleged violation of these Terms including any unauthorized use of any password or account or any other known or suspected breach of security.
                             
- Cooperate with Restless Bandit with respect to:
(i) investigation by Restless Bandit of any suspected or alleged violation of these Terms and (ii) any action by Restless Bandit to enforce these Terms. Restless Bandit may suspend or terminate an Authorized User's access to the Service in the event that Restless Bandit reasonably determines that such Authorized User has violated these Terms or appears likely to do so.

b. Job Promotion

Restless Bandit customers who wish to boost their ads' deliverability and reach to Job Seekers do so through a Restless Bandit insertion order.

If you are an Employer, you agree that you will not use the Service to promote any job position that: contains inaccurate, false, or misleading information; includes any screening requirement or criterion in connection with a job where such requirement or criterion is not an actual and legal requirement of the job; involves any franchise, pyramid scheme, "club membership", distributorship, or multi-level marketing opportunity; requires applicants to pay to apply, pay for training, pay for training materials, or pay for samples; contains content that violates applicable laws; or pays commissions only (except for job that make clear that the available job pays commission only and clearly describes the product or Service that the Job Seeker would be selling, in which case such advertisements are permissible).

When using the Service, you are responsible for ensuring that your use of the Service is in compliance with applicable law.

We will make reasonable efforts to promote your job in job alert emails and/or via our advertising network. You give Restless Bandit permission to promote your job(s) via our email campaigns and advertising network (including using your logo to promote the job), and to place your job(s) on the Restless Bandit website. You are solely responsible for interviewing, performing background and reference checks on, verifying information provided by, and selecting an appropriate candidate.

You acknowledge and agree that Restless Bandit may, with no liability or penalty, stop promoting any job, content, communication or information posted, which in the sole judgment of Restless Bandit, violates or may violate these Terms, the Restless Bandit Job Quality & Inclusion Guidelines, applicable laws, rules or regulations; third party terms, or may adversely affect Restless Bandit; is false, inaccurate, misleading, deceptive, fraudulent, libelous, defamatory, immoral, offensive, obscene, pornographic, disruptive, threatening, abusive or illegal; or which may violate or lead to the violation of the rights of, or harms or threatens the safety and privacy of any third party.

c. Resume Search

In purchasing or obtaining access to the Restless Bandit Resume Search ("Resume Search"), you may send electronic messages to the Resume Owner via an email address provided by the Resume Owner. Restless Bandit does not guarantee that the email address is still in use, that such message(s) will be received, that such message(s) will be read, that such message(s) will be acted upon by any potential Resume Owner, or that any Resume Owner's resume is valid, accurate or complete in any respect. In addition, in accord with the Agreement, you expressly agree that Restless Bandit shall not be used in a spam like manner, which Restless Bandit defines as sending requests for job positions to persons who are, as indicated by Restless Bandit experience and Resume Owner behavior and reaction, unsuited for the role. Restless Bandit reserves the right to disable resume search functionality for any user who, in Restless Bandit's sole discretion, violates these Terms, including the foregoing term. The only acceptable use of Resume Search is for you to contact a Resume Owner for potential employment. No other uses are permitted. Scraping the Restless Bandit resume database or using the Restless Bandit Resume database for any other purpose except as allowed will result in legal action being taken against you. Additionally, if you are a competitor of Restless Bandit (including but not limited to any job aggregation website or any job posting websites) you may not use the Restless Bandit Resume database to contact a Resume Owner for the purpose of sending them a job offer from you or your clients, and any such competitive use of the Restless Bandit Resume database may result in Restless Bandit blocking you from the Service, and blocking you from contacting Restless Bandit Resume Owners.

In the event phone numbers are provided by the Job Seeker in the resume, Restless Bandit does not guarantee their validity and can not confirm whether such numbers are landlines or cell phones. You agree to call or text Job Seekers regarding relevant job opportunities only. It is your sole responsibility to comply with all government guidelines, including laws against automated telephone dialing systems and texting generally.

RESTLESS BANDIT'S PROVISION OF THE PROGRAM AND THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WITH RESPECT TO THE PROGRAM AND YOUR USE THEREOF, RESTLESS BANDIT AND ITS AFFILIATES, AND ITS AND THEIR THIRD-PARTY LICENSORS, EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY THAT ANY EMAIL ADDRESS THAT HAS BEEN PROVIDED TO RESTLESS BANDIT IS VALID, THAT ANY EMAIL SENT BY YOU OR RESTLESS BANDIT WILL REACH THE INTENDED RECIPIENT, THAT ANY INTENDED RECIPIENT OF ANY SUCH EMAIL WILL READ SUCH EMAIL, OR THAT ANY SUCH INTENDED RECIPIENT WILL ACT UPON SUCH EMAIL. RESTLESS BANDIT AND ITS AFFILIATES, AND ITS AND THEIR THIRD-PARTY LICENSORS, EXPRESSLY DISCLAIM ALL OTHER WARRANTIES INCLUDING WITHOUT LIMITATION FOR NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR ANY PURPOSE.

NEITHER PARTY WILL BE LIABLE UNDER THESE TERMS FOR ANY CONSEQUENTIAL, SPECIAL, INDIRECT, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES WHETHER IN CONTRACT, TORT OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY; AND EACH PARTY'S AGGREGATE LIABILITY TO THE OTHER UNDER THESE TERMS IS LIMITED TO AMOUNTS PAID OR PAYABLE TO RESTLESS BANDIT BY YOU FOR THE RESTLESS BANDIT RESUME SERVICE GIVING RISE TO THE CLAIM.

You shall indemnify, defend and hold harmless Restless Bandit, its agents, affiliates, and licensors from any third-party claim or liability (including without limitation reasonable legal fees) arising out of any contact you have with the recipient (or intended recipient), any email you send or request to be sent pursuant to these Terms, or any phone call or text message you make to a recipient.
